1. Introduction

These Terms and Conditions of Sale (“Terms”) govern the sale of branded clothing by Baseig (“Seller”) to companies (“Buyer”) who place orders via email consent, following initial contact by our sales representatives. By placing an order, the Buyer agrees to be bound by these Terms.

2. Orders

2.1 Order Placement: Orders are placed through email consent after prior contact by our sales representatives. Each order must specify the quantity, sizes, and design of the clothing.

2.2 Order Confirmation: An order is considered confirmed when the Buyer receives an email confirmation from the Seller. Following the confirmation of the order, the Buyer will receive an invoice for the down payment for the production. The confirmation will include order details and the estimated delivery time.

3. Pricing and Payment

3.1 Pricing: All prices will be quoted in the currency chosen by the Buyer between EUR, USD, or PLN, and include applicable taxes unless stated otherwise. Prices are subject to change without notice but will not affect confirmed orders.

3.2 Payment Terms: Payment is due within 14 days of invoice issuance unless otherwise agreed in writing. The Seller reserves the right to require an initial payment (mentioned in 2.2). The initial payment will amount to a percentage of the order amount. The Seller will commence production of the order after receiving the initial payment from the Buyer.

3.3 Late Payments: Late payments will incur a fee of 1.5% per month on the outstanding balance.

4. Delivery

4.1 Delivery Terms: The Seller will deliver the products to the address specified in the order confirmation. The delivery time will be confirmed in the order confirmation.

4.2 Shipping Costs: Shipping costs are borne by the Buyer unless otherwise agreed.

4.3 Risk of Loss: Risk of loss passes to the Buyer upon delivery of the products to the carrier.

5. Warranty and Liability

5.1 Warranty: The Seller warrants that the products will conform to the specifications agreed upon at the time of order. Any defects must be reported within 7 days of receipt.

5.2 Limitation of Liability: The Seller’s liability is limited to the repair or replacement of defective products. The Seller is not liable for any indirect or consequential damages.

6. Intellectual Property

All designs and branding created by the Seller remain the property of the Seller until full payment is received. Unauthorized use of the designs is prohibited.

7. Governing Law

These Terms are governed by the laws of Poland. Any disputes arising from these Terms will be resolved in the courts of Poznań, Poland.

8. Policy Changes

The Seller reserves the right to amend these Terms at any time. Such amendments will only apply to new orders and will not affect orders that are currently being processed.
